Welcome to our Standard Terms of Service. By signing an Order Form or Statement of Work with us, you agree to the following legal framework. The Universal Base Terms apply to all clients. Schedules A and B apply to the extent you purchase those specific services, while Schedule C (Data Processing Addendum) applies automatically whenever our services involve processing Personal Data on your behalf.

Schedule A: Professional Services & Implementation
Universal Base Terms
These terms apply to all client engagements.
- Invoicing & Payment:
- Billing Structure: Your specific payment schedule (e.g., milestones, retainers, or setup fees) is defined in your Order Form.
- Recurring Services: Platform and hosting subscriptions require an automated payment method (credit card or ACH) on file, unless explicitly waived in your Order Form.
- Net-30 Terms: Available strictly upon credit approval.
- Late Fees & Suspension: Late payments accrue a 1.5% monthly fee, and we reserve the right to suspend access if an invoice remains unpaid for 15 days past its due date.
- Term & Termination: This legal framework remains active continuously, while specific project timelines or hosting subscriptions are defined in your Order Form. Either party may terminate for material breach if uncured within thirty (30) days.
- Confidentiality & AI Technologies: Both parties agree to strictly protect each other's confidential information. To support our services, we may utilize industry-standard automated processing within secure, enterprise-grade environments. However, neither party will use the other's Confidential Information—including your internal business data, or any of our proprietary code and technical architecture you may access—to train any artificial intelligence models whatsoever, whether public, private, or internal, unless express written consent is provided.
- Limitation of Liability: Our maximum aggregate liability under any legal theory is capped at the total sums paid by you in the twelve (12) months preceding the event. Neither party is liable for indirect, special, or punitive damages.
Schedule A: Professional Services & Implementation
These terms apply to custom development, requested modifications, and project-based implementations.
- Acceptance (UAT): Upon delivery of a project milestone, you have five (5) business days to perform User Acceptance Testing (UAT) and report any material defects in writing. If no defects are reported, the work is deemed accepted.
- Project Delays: If a project is delayed by the client for more than thirty (30) consecutive days, we reserve the right to invoice for all work completed up to that date.
- Scope Changes: While major additions require a formal, written Change Order, we may accept simple written authorization (including email) to proceed with minor modifications at our standard hourly rate. We reserve the right to require upfront payment prior to commencing major additions or expedited work.
Turnaround Times & Hourly Rates
Please note: The turnaround times below apply strictly to standard maintenance and minor modifications. Timelines for major projects, website builds, or phased implementations are governed exclusively by the schedule outlined in your specific Order Form or Statement of Work. Unless separately scoped as a fixed-fee project, minor modifications are performed at our standard hourly rate. Expedited requests are billed at 1.5x our standard rate.

Schedule B: Platform & Managed Infrastructure
These terms apply if you utilize our platform or managed infrastructure subscriptions.
- Ownership: You retain all ownership, intellectual property rights, and title to the content and data you upload. We retain exclusive ownership of the Platform Engine, underlying infrastructure, and any platform enhancements.
- Usage Restrictions: You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, routing logic, or infrastructure architecture of our platform or services.
- Uptime & SLA: We use commercially reasonable efforts to maintain 99.5% or greater uptime across our managed web hosting, general infrastructure, and platform services during any given calendar month. Financially backed SLAs containing specific service credits are exclusively reserved for Enterprise or Custom agreements.
- Emergency Suspension: We may suspend access immediately if your account poses a material security risk, faces a severe cyberattack, or hosts unlawful content.
- Post-Termination: You own all Client Content you create or upload. Upon termination and full payment of fees, you may request a standard export of this content. To the extent your exported site relies on our custom frontend code or templates, we grant you a perpetual license to continue using those specific frontend assets. Both the export and this license expressly exclude our underlying proprietary core infrastructure.
Schedule C: Data Processing Addendum (DPA)
These terms apply automatically whenever our services involve the processing or storage of your end-users' Personal Data.
- Data Roles: You act as the "Controller" responsible for legal compliance regarding your users' data. We act as the "Processor," processing data solely on your instructions.
- Security & Breach Notification: We implement industry-standard security measures. In the event of a confirmed security incident affecting your data, we will notify you within forty-eight (48) hours.
- Third-Party Disclosure & Law Enforcement: We will not sell, share, or disclose your Personal Data (e.g., PII) to third parties unless strictly required by a valid court order or law enforcement request. This restriction expressly excludes your public-facing website content meant for publication.
- Data Deletion & Portability: Upon account closure, we will securely delete your Personal Data or provide a standard system export (e.g., a standard database dump) upon request. Active migration assistance or custom data formatting is provided as a separate, billable service. We retain copies of data only as required by law or routine automated backups.
